Fund Overview

A Qualified Opportunity Fund investing in oil and gas assets inside designated Opportunity Zones, focused on the Permian Basin of West Texas and southeast New Mexico. It targets developmental drilling in proven formations rather than exploration, holding leases, working interests, producing and development wells, and energy infrastructure. Cash flow may arise during the hold but is not guaranteed. The sponsor is a Texas exploration and production company with forty five years of history, over 4,000 wells across 13 states and Canada, and co-investment alongside its partners.

Tax Features

• Only the gain is reinvested. Unlike a 1031 exchange, the rest of the sale proceeds stay with the investor.
• Deferral. Tax on the gain is deferred, then recognised on 31 December 2026 and reported on the 2026 return.
• Measured at the lesser of the original deferred gain or the fund interest's fair market value on that date, set by independent third party valuation.
• Income is tax efficient. Drilling costs, depreciation and depletion at the fund level offset distributions, so cash received carries little or no current tax.
• Ten year exclusion. Held the full targeted term, appreciation may be excluded from federal capital gains tax, with no depreciation recapture.
• 180 day window. Gains must reach the fund within 180 days. K-1 gains can start that clock at the partnership return due date.
